“All-Ukrainian Harm Reduction Association”
1. Common Regulations
1.1. All-Ukrainian Harm Reduction Association (further Association) is
an All-Ukrainian charity non-profit non-government organization. Association
established in accordance with the Constitution of Ukraine, with Law of
Ukraine “About Charity and Charity Organizations” (dated 16
September 1999 #531/97-BP) and on the basis of board decision of founders
meeting (Report #1 from 13th July 2002).
1.2. Association, according to its status, is an All-Ukrainian statewide
organization.
1.3. Association established to perform charity and charity activities
based on law, humanity, mercy, common interests and equality of rights
of participants, publicity, free will and self-government.
1.4. Association, according to organizational-legislation form, is a charity
organization.
1.5. Charity activities of Association are of a social character. They
do not contradict with cooperation of Association with the authority and
don’t deprive of its right of receiving support from government
organizations.
1.6. The full name of Association in English is All-Ukrainian charity
organization “All-Ukrainian Harm Reduction Association”.
1.7. Legal address of Association is: 34A Grushevskogo St., Kiev, Ukraine.
2. Legal position
2.1. Association acquire rights of juridical person after legal registration.
2.2. Association possess independent balance of payments, accounts in
national and foreign currency, stamps, letter-head and logotype.
2.3. Association sui juris accrue interests and special non-property rights.
Association fulfils commitments, covenants, acts as plaintiff or defendant
in court, arbitrage and court of arbitration.
2.4. Association has other rights in accordance with current legislation
of Ukraine.
2.5. Association is not responsible for the obligations of its members.
Members of the Association are not responsible for the obligations of
the Association.
2.6. Association is not responsible for the obligations of the state.
State is not responsible for the obligations of the Association.
2.7. Members and employees of the Association don’t get higher salaries
and benefits for the higher position in the Association.
2.8. In order to implement its objects and tasks Association has right
to found affiliated societies, representative offices and other structural
departments. Association has right to found enterprises by one-self or
found another businesses together with the other juridical or physical
persons. Association has right to be the member of other charity organizations.
2.9. Activities of the Association are regulated by the Constitution of
Ukraine, Law of Ukraine “About Charity and Charity Organizations”,
Law of Ukraine “About HIV/AIDS Prevention and Social Protection
of the Population”, current legislation of Ukraine and by this Charter.
2.10. Association carries out its charity activities in accordance with
charity programs. This complex of charity activities directed on the tasks
solution which correspond to charter objects of the Association. For financing
charity programs involved the entire sum of donations that entered during
the fiscal year, excluding administration expenses related to organization
functioning. For implementation of long-term programs their financing
carried on in accordance with stipulated terms of the treaty.
2.11. Association solves the questions as to giving charity help by itself,
uses objective donations, which are given by donators for performing charity
program, according to conditions of such donations.
2.12. Association decides as to forms, objects, subjects and sizes of
charity help by itself.
2.13. Association has right to establish deposit account by means of funds
that are spare from utilizing in programs.
2.14. Association has right to conduct international charity activities
in accordance with current legislation of Ukraine and international legal
regulations. Charity activities of Association are to be conducted by
means of participation in international charity projects, collaboration
with international charity organizations and other forms that do not contradict
with current legislation of Ukraine and principles of international law.
3. Subject, Objectives, Tasks and Main Forms of Charity Activity
3.1. The subject of Association activities is support and development
of the organizations which work in the area of Harm Reduction, elaboration
and implementation of new approaches to HIV/AIDS prevention and to harmful
types of behavior amidst residents of Ukraine.
3.2. Tasks of Association are:
• HIV/AIDS spread prevention and harmful types of behavior prevention
amidst residents of Ukraine;
• drawing in and collection of charity donations and investments
to provide achievement of statute object of Association;
• popularization and implementation of harm reduction ideas amidst
residents of Ukraine;
• participation in all-country, regional and international programs
directed on HIV/AIDS spread prevention;
• providing help to member-organizations of the Association;
• generalization, perfection and spread of experience of harm reduction
strategy implementation on national and international level;
• initiating and application of harm reduction strategy implementation
research;
• elaboration and support of intellectual potential of the organization
– members of the Association;
3.3. Major forms of charity activities of the Association:
• one-time financial and other help;
• systematic financial and other help;
• financing of certain objective programs;
• help based on agreements (contracts) about charity activities;
• gift or allowance to use Association property for free (favorable
terms);
• allowance to use own name and symbols;
• direct help with own efforts, services or giving the results of
own creative activities of the Association;
• take all the expenditures for free, full keeping or part keeping
of charity objects;
• other activities, not prohibited by the law.
Charity activities provided by the Association in the form of certain
services (execution phase) liable to appropriate certification or licensing
and are allowed only after such certification or licensing in accordance
with current legislation of Ukraine.
3.4. Subject of charity activities of the Association are:
3.4.1. Implementation of harm reduction programs by means of providing
charity assistance to member-organizations of the Association.
3.4.2. Providing educational information to the communities by means of
specially targeted training, seminars, education activities aimed at definite
community groups. Conducting educational work in collaboration with mass-media
concerning drug related harm reduction and health programs.
3.4.3. Designing and improvement of methodical and informational database
about work of drug and alcohol related harm reduction programs.
3.4.4. Assistance in conducting scientific research related to harm reduction
and substance abuse.
3.4.5. Designing, issuing, adaptation, implementation and distributing
special methodical and educational literature.
3.4.6. Training staff-workers for providing social assistance to drug
users, HIV/AIDS infected and their relatives and inmates. Financial aid
and moneyed assistance to these groups of people.
3.4.7. Assistance in creation information network, publishing, mass-media
focused on providing information about HIV/AIDS disease, its prevention
and substance abuse.
3.4.8. Establishing and managing mass-media institutions engaged in publishing
in order to produce and disseminate costs-free informational publications.
3.4.9. Assistance for international exchange and research collaboration
relevant to HIV/AIDS and substance abuse.
3.4.10. Carrying out preventive measures work in prisons and in military
units.
5. Sources of Finance, Property and Assets.
5.1. Sources of financing of the Association are:
• investments of members of the Association;
• charity payments and donations which have objective nature (charity
grants), given by legal entities and individuals in cash or goods payments
(including non-residents);
• incomes from performed charity public events, charity lotteries
and charity auctions to sell out property and donations that came from
donators (including non-residents);
• incomes from deposit accounts, corporate property and other sources,
which not prohibited by the law of Ukraine.
Credits are not allowed to form property and assets of charity organization.
Property and assets of charity organization are not subject to pawn. Association
has no right to act as guarantor, bail or warrantor for other persons
obligations.
5.2. Association can possess movables and immovables, tangible and tangible
assets, funds and other types of property.
5.3. Association has right to conclude any treaties concerning its funds
and property. These treaties should not contradict with governing law,
Charter of the organization and the status of the Association as a non-profit
organization.
Total sum of expenses spend on domesticity needs of the Association should
not exceed 20% of an annual turnover of the organization.
5.4. Unfavorable earnings of the Association directed immediately on charity
and domesticity needs of the Association in accordance with this Charter
and Law of Ukraine “About Charity and Charity Organizations”.
5.5. Association conducts business, financial accounts and statistical
reports in accordance with governing law.
5.6. Order of property and funds usage is defined by managing administration
of the Association in accordance with their authorities stated in the
Charter.
After registering in Tax Administration the Association becomes a non-profit
organization.
